or Limited Liability Company (LLC). Filing services covered by this warranty include:

Articles of Incorporation. The articles of incorporation
are the primary legal document of a corporation; they serve as a corporation's constitution. The articles of
incorporation are filed with the State government to begin the corporations existence. The articles of incorporation
contain basic information on the corporation as required by specific State law. We prepare and
file the articles of incorporation as part of its incorporation service, based on the facts you provide to us.

Articles of Organization. LLCs must file the articles of organization
with the proper State authorities to begin the LLC's existence. The articles of organization for a LLC are very similar
to a corporation's articles of incorporation. We prepare and file the articles of organization as part of its
incorporation service, based on the facts you provide to us.

Amendments. A certificate of amendment is a document filed with your State of formation or a State in which your company
has qualified to transact business in order to enact a specific change to your company's formation or foreign
qualification documents, such as a request to change the name of your entity. A certificate of amendment and the
fees required by the State, must be filed with the State in order to make a change to the majority of the information
included in the formation and/or foreign qualification documents.

D.B.A.s. A D.B.A., also called an assumed name, trade name or fictitious name is typically completed by making
a filing at the county level where the business is located. This filing does not change the official name of the
company; however, it allows the company to use additional names.

Foreign Qualifications. If your company expects to transact business outside your State of formation, your
company may be required to qualify as a "foreign corporation" or "foreign LLC." We file the necessary paperwork to
qualify your business as a foreign corporation or LLC.

Name Reservations. The name of a corporation or LLC must be distinguishable on the records of the State
government. If this requirement is not met, the State will reject the articles/certificate. A name can be reserved,
usually for 120 days, by applying with the proper authorities and paying a fee.

IN NO EVENT WILL INCORPORATE FLORIDA, INC. BE LIABLE OR RESPONSIBLE FOR ANY DAMAGE, SPECIFICALLY INCLUDING BUT NOT
LIMITED TO ANY CONSEQUENTIAL DAMAGES, OR INCONVENIENCE CAUSED BY FILING ERRORS.
INCORPORATE FLORIDA, INC.'S AGGREGATE LIABILITY TO YOU AND/OR ANY ENTITY FORMED FOR YOU CAUSED BY
INCORPORATE FLORIDA, INC. SHALL BE LIMITED TO THE REMEDIES SET FORTH ABOVE.
IN NO EVENT WILL INCORPORATE FLORIDA, INC. OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS
OR ADVISORS BE LIABLE OR RESPONSIBLE FOR ANY DAMAGES OR INCONVENIENCE RELATING TO DEFECTIVE FILINGS,
AND IN NO EVENT WILL OUR LIABILITY OF ANY KIND INCLUDE ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES,
INCLUDING LOST PROFITS, COSTS, OR ATTORNEYS FEES, EVEN IF WE HAVE KNOWLEDGE OF THE POTENTIAL LOSS OR DAMAGE.
