C-CORP
A C corporation (or "C-CORP") is a corporation in the United States that, for Federal income tax purposes, is taxed under 26 U.S.C. § 11 and Subchapter C (26 U.S.C. § 301 et seq.) of Chapter 1 of the Internal Revenue Code. Most major companies (and many smaller companies) are treated as C corporations for Federal income tax purposes. See also S-CORP.

EIN
Employer Identification Number. See also FEIN.

FEIN
A Federal Employer Identification Number ("FEIN"), also known as a Federal Tax Identification Number, is a number the U.S. Internal Revenue Service assigns to business entities. The IRS uses the FEIN to identify taxpayers required to file various business tax returns. FEINs are required for employers, sole proprietors, corporations, partnerships, non-profit organizations, trusts and estates, government agencies, certain individuals and other business entities.

LLC
A limited liability company (denoted by "L.L.C." or "LLC") is a legal form of business company in the United States offering limited liability to its owners. In that respect, it is similar to a corporation, and is often a more flexible form of ownership, especially suitable for smaller companies with a limited number of owners. Unlike a regular corporation, however, a limited liability company with one member may be treated as a disregarded entity and a limited liability company with multiple members is typically treated as a partnership for tax purposes, thereby avoiding double taxation. It is often incorrectly called a "limited liability corporation" (instead of company).

Registered Agent
A Registered Agent is someone with a physical address in Florida who will be responsible for receiving documentation or notices for the Corporation, including important legal documents. If you do not live in Florida, you must have someone located in Florida authorized to act as your Registered Agent. Ownership of a P.O. box in Florida is insufficient as the address of the Registered Agent must be a physical address where process may be served. Incorporate Florida, Inc. includes one (1) year of Registered Agent services FREE when we form your corporation or LLC.

S-CORP
An S corporation (or "S-CORP") is a corporation that meets the United States Internal Revenue Service requirements to be taxed under Subchapter S of Chapter 1 of the Internal Revenue Code. Unlike a regular C corporation, an S corporation generally pays no corporate income taxes on its profits. Instead, the shareholders in the S corporation pay income taxes on their proportionate shares, called distributive shares, of the S corporation's profits. Shareholders pay the tax regardless of whether the S corporation pays dividends. See also C-CORP.

Annual fees are due January 1 of each year, and must be filed before May 1 (of the year following the start of your entity). After May 1, the State of Florida assesses a late penalty and fees increase to $550.00.
